These Terms and Conditions govern access to and use of the 5HC website, marketplace, expert coaching engagements, booking flows, payment flows, and related services. By using 5HC, you agree to these Terms.

Eligibility

You must be at least 18 years old and able to form a binding contract to use 5HC. If you use 5HC on behalf of an organization, you represent that you have authority to bind that organization.

5HC Services

5HC connects clients with vetted experts for focused AI coaching and implementation support. Experts may be independent contractors or third-party providers. Their views, recommendations, and work are their own unless 5HC expressly states otherwise in writing.

5HC does not guarantee any specific business outcome, revenue result, productivity result, hiring result, or model performance.

Accounts

You are responsible for keeping your account credentials secure and for activity under your account. You agree to provide accurate information and promptly update it if it changes. You must notify 5HC if you believe your account has been compromised.

Launch Engagements And Fees

The standard launch engagement is $7,000 for 10 sessions unless a written order, checkout page, or separate agreement states otherwise. Prices are shown in U.S. dollars. You authorize 5HC and Stripe to process payments, taxes, refunds, and related charges for services you purchase.

Bookings are confirmed only after required payment and scheduling steps are completed. 5HC may pause, cancel, or decline a booking if payment fails, required information is missing, an expert is unavailable, or the booking presents operational, legal, or safety concerns.

Scheduling, Cancellations, And Refunds

Refund treatment depends on whether the booking is for a single session or for a multi-session engagement.

For single-session bookings, cancellation completed at least 24 hours before the scheduled session start time qualifies for a full refund of that session. Inside 24 hours, refunds are not automatic and may be handled at 5HC's discretion after reviewing the circumstances with the expert. No-shows and same-day cancellations may be treated as a forfeited session.

For multi-session engagements, including the $7,000 for 10 sessions launch package or any other multi-session package, refunds are pro-rated to unused sessions only. Sessions that have been delivered, partially delivered, or marked complete are non-refundable. A session that is no-showed by the client or cancelled by the client inside the 24-hour window counts as delivered for this purpose.

If a client asks to end an entire engagement before all sessions are used, 5HC may permit termination only at its discretion after good-faith review with the assigned expert. If termination is granted, the refund equals the pro-rated value of unused sessions only. 5HC may decline an engagement-level termination request if the request appears to be made in bad faith, after material value has been delivered, or after a pattern of late cancellations.

If a session is rescheduled, the 24-hour refund window applies to the then-current scheduled start time. A session rescheduled inside the 24-hour window without agreement from 5HC and the expert may count as a forfeited session.

If an expert becomes unavailable, 5HC may offer a comparable expert reassignment, a rescheduled session, a credit, or a refund for the affected session or engagement portion. 5HC will make the final reassignment decision in good faith based on fit, availability, and the client goal.

Stripe chargebacks and bank disputes initiated outside this Cancellations and Refunds policy are handled through Stripe and the cardholder's bank under their own rules; 5HC will respond to disputes consistent with the policy stated above.

Recordings, Confidentiality, And NDAs

5HC does not record sessions by default. Clients, experts, and attendees may not record a session unless all participants consent and the recording complies with applicable law.

Each party may receive nonpublic information from the other. The receiving party will use reasonable care to protect confidential information and use it only to provide or receive the services, except as required by law or permitted in writing.

5HC does not provide a mutual NDA by default. If an NDA or custom confidentiality agreement is required, it must be signed separately before confidential information covered by that agreement is shared.

Expert Payouts

Experts are paid through Stripe Connect Express when the required expert Stripe account is active and eligible for payouts. Stripe may require identity, business, tax, bank, and compliance information before payouts are enabled.

Payout timing, payout method availability, account holds, reserves, chargebacks, reversals, tax reporting, and Stripe fees may be governed by Stripe's terms and the expert's Stripe Connect Express account. Unless a separate written expert agreement says otherwise, the platform fee default for 5HC launch engagements is 0%.

Experts are independent contractors and are responsible for their own taxes, licenses, insurance, equipment, availability, and compliance obligations.

Acceptable Use

You agree not to:

  • Violate law, contracts, intellectual property rights, privacy rights, security rights, or payment network rules.
  • Submit malicious code, spam, deceptive content, or abusive material.
  • Interfere with, scrape, reverse engineer, bypass, or disrupt the service.
  • Use 5HC to process information you do not have the right to use.
  • Upload highly sensitive, regulated, or confidential information unless you have authority and the disclosure is appropriate for the engagement.
  • Circumvent 5HC payment, booking, or expert matching workflows for a 5HC-introduced engagement.

Professional Judgment

5HC helps clients use AI tools and workflows more effectively. AI systems and expert recommendations can be inaccurate, incomplete, biased, unsuitable, or dependent on context. You are responsible for reviewing, testing, and validating any work before relying on it.

5HC does not provide legal, medical, financial, tax, employment, investment, or other regulated professional advice unless expressly agreed in a separate written agreement with properly qualified providers.

Intellectual Property

5HC and its licensors retain all rights in the website, brand, software, designs, documentation, templates, and platform materials.

You retain ownership of materials you provide to 5HC, subject to the rights needed for 5HC and its providers to deliver, support, secure, and administer the services.

Subject to your compliance with these Terms and payment of applicable fees, you may use deliverables provided to you for your internal business purposes unless a separate agreement states otherwise.

Third-Party Services

5HC integrates with third-party services for payments, payouts, scheduling, email, authentication, database, monitoring, error tracking, hosting, and deployment. Current providers include Stripe, Cal.com, Resend, Supabase, Sentry, Cronitor, and Vercel. Third-party services are governed by their own terms and policies, and 5HC is not responsible for third-party services outside its control.

Suspension And Termination

5HC may suspend or terminate access to the services if you violate these Terms, create risk for the service or other users, fail to pay amounts due, misuse expert or client information, or if continued access would be unlawful or commercially impractical.

Disclaimers

5HC is provided on an as-is and as-available basis. To the maximum extent permitted by law, 5HC disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

Limitation Of Liability

To the maximum extent permitted by law, 5HC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.

To the maximum extent permitted by law, 5HC's aggregate liability for claims arising out of or related to the services will not exceed the amount you paid to 5HC for the services giving rise to the claim in the three months before the event giving rise to liability.

Indemnity

You agree to defend, indemnify, and hold harmless 5HC from claims, damages, liabilities, costs, and expenses arising from your use of the services, your content, your violation of these Terms, your violation of law or third-party rights, or your misuse of expert, client, payment, or booking information.

Changes

5HC may update these Terms from time to time. Updated Terms will be posted with a new last updated date. Continued use after changes become effective means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, unless a separate written agreement states otherwise.
